April 11, 2006 - Pierre H. Lessard extends its contract with Metro

Montréal, April 11, 2006 - METRO INC. announces that the employment contract of its President and Chief Executive Officer, Mr. Pierre H. Lessard, has been extended to April 1, 2008. Mr. Lessard has been President and Chief Executive Officer of METRO INC. since 1990, during which time the Company has enjoyed strong growth.

Furthermore, METRO INC. announces that its long-term incentive program, which used to be comprised solely of stock options, is being replaced by an equivalent program consisting of stock options and performance share units. Under this modified long-term incentive program, key Company employees will be granted periodically a combination of stock options and performance share units. The number of performance share units may increase if the Company achieves certain financial performance benchmarks. Each performance share unit entitles its holder, after a certain period, to a METRO INC. share or, at the Company’s discretion, the equivalent in cash. METRO INC. decided to modify its long-term incentive program to tie long-term compensation of key employees more closely to the Company’s performance while keeping this compensation competitive in order to recruit, retain and motivate executives who will help the Company achieve its goals.

METRO INC. also confirms that Mr. Gérard Antoine Limoges has submitted his resignation to the Company’s Board of Directors. Although METRO INC. has no U.S. operations and the Company is not subject to U.S. Securities and Exchange Commission (SEC) regulations, the more restrictive SEC definition of independence prompted Mr. Limoges to resign from the Board of Directors of the Company. METRO INC. thanks Mr. Limoges for his work and contribution as a member of both the Board of Directors and the Audit Committee, which he chaired since 2004.
